    What Happens if 4 of the 6 man Board...

    ...vote against Hicks Snr & Jnr in a "Vote of No Confidence" at a Board Meeting.

    BTW I assume there still no AGM as we are now privately owned?

      I would guess nothing as Hicks is a 50 percent owener, so a vote of no confidence would do f**k all... It would however be damaging if say Parry or others without a major stock hold would get such a vote

        What bearing does it have on the day to day running of the club, could the 4 effectively force through any decisions they want and veto anything the 2 proposed?

          No more AGM's

          Hicks Snr couldnt be removed from the board of directors by a vote of any kind

          Not so sure Hicks Jr is similarly protected

            Why not Lec? Private agreement not to? Any usual Board can vote against any individual member.

            Does Kop Holdings have any non-Exec Directors with a vote?

              in their agreement they probably have it down as each majority shareholder having one spot for themselves, and one for another person of their choice, as shown with each yank having a mate on the board.
              i imagine its been agreed these people are pretty much untouchable, with only the other 2 being capable of voted out

                Dont know the ins and outs saw a discussion between two legal minds on this matter

                The conclusion reached after lots of legalease was it would be almost impossible to remove Hicks from the board but young Tommy could be removed

                    Also yes, lets get the Board as heavily weighted in our favour as is possible, that's just good business sense.

                      the shareholders hold the power to remove board members not the directors, ultimately there are only two of those so I guess the big fat turkey from texas will not vote for christmas. In any even the shareholder agreement will have what is known as an entrenching provison that prevents etiehr of thier removal by the other. Get Aki to feel his Texas lardy muscle, that might do the trick

                        What about Tom Jr though Steve? I assume he doesn't have an "entrenching provison"? If not, surely we can get rid of him? Or is it just a 1 v 1 vote (1 from Hicks v 1 from Gillett). Do the rest of the Board then get the casting vote? Why don't we do it and then just see Hicks in Court? It'll take months, by which time hoepfull he nad his family will have gone.
