Mata is a better overall player than Downing, he's younger and has a higher potential ceiling and if I had to choose one to build the team around, there's no doubt I'd pick him.
However, I understand why Kenny would prefer Downing, as he might fit better into our team set up and could be a very good compliment for both Carroll and Suarez. He brings our midfield width, something that Mata doesn't provide, and he's proven and settled in the Premier League so he doesn't carry the risks involved with signing a foreign player and expecting him to contribute immediately.

We seem to have been had over a barrel for every transfer since the new owners took over. I find it odd that we had to battle with Villa to get Downing and pay top dollar whilst Man Utd just seemed to have strolled in and picked up Young for a lot less.

didnt the length of youngs contract dictate the price more than it did with downing?

Wouldnt say we were had over a barrel on the Suarez or Adam fees myself.
Man Utd didnt stroll in and pick him up for a lot less either, it went on for about 6 weeks and they paid about £2m or £3m less than we did, Young only had a year on his deal aswell.
